Nanox has agreed to acquire healthcare information technology provider VasoHealthcare IT (VHC IT) from Vaso Corporation (Vaso) for expediting the deployment of AI solutions across healthcare facilities in the US.

This transaction is expected to be completed within weeks, subject to certain conditions.

VHC IT provides services for healthcare providers and hospitals across the US. Its work includes nationwide go-live support for medical imaging, data migration, healthcare systems integration, user training, and workflow optimisation.

Under the acquisition, VHC IT’s operational and customer support infrastructure will be merged with Nanox.AI’s solutions, which have been approved by the US Food and Drug Administration (FDA) to analyse routine CT [computerised tomography] scans for signs of chronic diseases.

This integration aims to ease adoption and accelerate deployment, thereby minimising the time-to-value for healthcare providers.

Nanox.AI, Nanox’s deep-learning medical imaging analytics subsidiary, develops AI solutions aimed at addressing acute diseases and widespread chronic conditions globally.

VHC IT’s expertise and customer relationships are anticipated to assist in Nanox’s commercial expansion in the US.

The overall consideration for the acquisition amounts to a maximum of $800,000, comprising a $200,000 cash payment at the time of closing and up to $600,000 in performance-based earnout payments over two years, dependent on revenue retention with existing clients.
