UniDoc Health has signed a definitive agreement to acquire AGNES Connect software from AMD Telemedicine, aiming to expand and enhance its NEIL Connect software platform.

This strategic move grants UniDoc access to AGNES Connect’s existing customer base immediately, with plans to continue supporting this clientele.

AGNES Connect is a cloud-based clinical examination platform that offers telemedicine capabilities, allowing caregivers to exchange medical data, images, and documents securely in real time, in addition to video conferencing.

The software’s integration with electronic health record (EHR) systems streamlines documentation and workflows.

Under the deal, which is effective immediately, UniDoc will acquire not only the AGNES Connect software but also the AMD Telemedicine name and related goodwill, including intellectual property, customer subscriptions, trademarks, and accounts.

The purchase involves a $175,000 cash payment to AMD along with a revenue share. It is subject to standard conditions and may require approval from the Canadian Securities Exchange.

UniDoc CEO Antonio Baldassarre said: “The proposed acquisition of AGNES Connect will strengthen our NEIL Connect platform and position UniDoc to deliver a more comprehensive and seamless eHealth solution.

“This integration will immediately enhance our software capabilities and provide direct access to an established customer network, presenting new opportunities to generate sustainable revenue and enhance shareholder value.”

Following the acquisition, UniDoc intends to provide ongoing support and release software updates to enhance the service for AGNES Connect’s customer base.

The NEIL Connect platform, which already includes integrations with Carefluence and DocBox software, uses AI to improve patient intake, triage through MediOrbis, and document monitoring via DocBox.

It adheres to stringent healthcare data protection standards, supporting compliance with the Health Insurance Portability and Accountability Act (HIPAA).

UniDoc anticipates the acquisition’s closure will take place soon.

In July 2024, UniDoc Health unveiled plans for an H3 Health Cube installation at the Territorial Health Center, collaborating with the Municipality of Aliano in Matera, Italy.
